4. Platform Description and Services

4.1 Core Educational Services

Nexsy provides a comprehensive AI-powered Learning Management System featuring advanced educational tools and capabilities. Our AI Lesson Planning Assistance utilises sophisticated business rule engines to analyse student data and curriculum requirements, automatically generating personalised teaching plans through integration with leading AI model APIs. This system aims to reduce preparation, whilst improving educational outcomes through targeted differentiation and adaptive content delivery.
Our AI Assessment and Grading Support utilises machine learning algorithms, enhanced by intelligent prompt-switching, to analyse student submissions against defined criteria such as learning outcomes and rubrics. This provides consistent feedback, suggestions, and grading recommendations to teachers and assessors, aiming to reduce assessment time whilst maintaining quality, compliance, and academic integrity. The system includes comprehensive audit logs for both internal and external verifiers to ensure that quality assurance processes align with the awarding body's criteria.

The AI Tutor Support feature offers 24/7 contextual learning assistance tailored to students' specific fields of study. Through real-time prompt-controlled AI interactions, students receive personalised support that extends the learning experience beyond classroom hours, improving engagement, enrichment, and success rates. Our business rule engines ensure responses are pedagogically appropriate and contextually relevant to each learner's needs and academic level.

4.2 Individual Learning Plans and Analytics

Subscription fees are based on your selected service tier and user count, with payment due in advance for subscription periods. All fees are non-refundable unless otherwise stated in writing or required by applicable consumer protection laws. We may modify pricing with reasonable advance notice; however, existing subscribers will maintain their current pricing until their renewal.

Payment processing is handled through secure third-party providers, including PayPal and Stripe, subject to their respective terms and conditions. You are responsible for ensuring your payment information remains current and for any fees charged by your bank or payment provider.

13. Limitation of Liability

To the maximum extent permitted by law, we provide the Platform "as is" without warranties of any kind, whether express or implied. We are not liable for indirect, consequential, or special damages arising from your use of the Platform. Our total liability to you for any claims related to the Platform is limited to the fees paid by you in the twelve months preceding the claim.

We do not guarantee educational outcomes, student success, or the achievement of specific learning objectives, as these depend on numerous factors beyond our control. Our AI systems are designed to assist and enhance education but cannot replace human expertise, judgment, or effort.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, infringement of third-party rights, or your content or activities on the Platform. This includes reasonable legal fees and costs associated with defending against such claims.

15. Termination

You may terminate your account at any time by contacting our support team or through your account settings. We may terminate accounts for violating these Terms, non-payment of fees, engaging in illegal or harmful activities, or posing a threat to Platform security. Upon termination, your access to the Platform will cease; however, some data may be retained for legal compliance purposes, as outlined in our Privacy Policy.

Data export options are available before termination to help you transition to alternative services. We will cooperate reasonably with data transfer requests to minimise disruption to your educational activities.

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform will be resolved through good faith negotiation in the first instance. If negotiation fails, disputes may be resolved through mediation or, as a last resort, through the courts of England and Wales.

For educational institutions, we recognise that internal grievance and appeals procedures may apply to disputes involving students or staff, and we will cooperate with such procedures as appropriate.

17. Changes to Terms

We may update these Terms periodically to reflect changes in our services, legal requirements, or enhancements to the Platform. Significant changes will be communicated with reasonable advance notice through email or Platform notifications.
